Terms of service

These Terms of Service (the “Terms”) govern access to and use of the Utility Data Sync application (the “App”) for HubSpot, provided by Nidish LLC (“we”, “us”, “our”). By installing or using the App you agree to these Terms on behalf of the HubSpot account that installs it (the “Customer”, “you”).

If you do not agree to these Terms, do not install or use the App.

The service

The App connects a Customer's HubSpot contacts to the Customer's own account with a utility-data provider. For each contact the Customer opts in, the App creates a matching customer record with the provider, tracks that customer's utility-connection (onboarding) progress, and writes account, meter, tariff, and billing data back onto the HubSpot contact once it is available. The App is provided free of charge. We may introduce paid tiers in the future; if we do, we will give advance notice before any existing feature you rely on becomes chargeable.

Accounts and access

You install the App through HubSpot's standard OAuth authorization flow and connect your own utility-data provider account with an API key you control. You are responsible for:

• the accuracy of the contact data in your HubSpot account;
• keeping your utility-data provider API key confidential, and for all activity that key authorizes;
• having the right to synchronize the Contact data you opt in, and for your own compliance with any privacy law that applies to you as the controller of that data (see the privacy policy).

Acceptable use

You agree not to:

• use the App to process data you do not have the right to process, or in a way that violates a data subject's rights;
• attempt to reverse engineer, disrupt, or gain unauthorized access to the App or the infrastructure it runs on;
• use the App to violate HubSpot's own terms of service or API usage policies;
• resell, sublicense, or provide the App to a third party as your own service.

Third-party services

The App integrates with two services we do not control: HubSpot and your connected utility-data provider. Your use of each is governed by your own agreement with that provider. We are not responsible for their availability, accuracy, or any change they make to their platform or API that affects the App's behavior.

Data and privacy

Our Privacy Policy describes what data the App processes, what we store, and how long we keep it, and forms part of these Terms.

Intellectual property

We retain all rights, title, and interest in the App, including its software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the App while it remains installed on your HubSpot account, for your own internal business purposes. No other rights are granted.

Disclaimer of warranties

The App is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted, error-free, or that data will sync within any particular time.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the App. Our total liability for any claim arising from these Terms or the App will not exceed the amount you paid us for the App in the twelve months before the claim arose — which, for the free tier, is zero — confirm this is the intended cap once any paid tier exists.

Indemnification

You agree to indemnify and hold us harmless from any claim arising from your use of the App in violation of these Terms, your violation of any law, or your violation of any third party's rights, including rights in the Contact data you opt in to sync.

Term and termination

These Terms apply for as long as the App is installed on your HubSpot account. You may stop using the App at any time by disconnecting your provider connection or uninstalling the App — see Disconnect the app and Uninstall the app in the setup guide.

We may suspend or terminate your access to the App if you materially breach these Terms and do not correct the breach within a reasonable time of being notified, or if required to do so by HubSpot or by law.

Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated “Last updated” date and, where required, communicated to you directly.

Governing law

These Terms are governed by the laws of state/jurisdiction — confirm, without regard to its conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the courts located in jurisdiction — confirm, and you consent to that jurisdiction.
