Terms of service

These Terms of Service (the “Terms”) govern access to and use of the PortalWatch application (the “App”) for HubSpot, provided by Nidish LLC (“we”, “us”, “our”). By installing or using the App you agree to these Terms on behalf of the HubSpot account that installs it (the “Customer”, “you”).

If you do not agree to these Terms, do not install or use the App.

The service

The App regularly reads the configuration of the Customer's HubSpot account — pipelines and stages, property definitions, and workflows — compares it with the previous check, and records the changes it finds, with who made them where HubSpot provides that. The Customer views and manages this on the App's settings page in HubSpot. The setup guide describes this in full.

The App only reads. It does not create, change or delete anything in the Customer's HubSpot account.

Pricing — confirm whether the App is free, and the notice given before any paid tier

Accounts and access

You install the App through HubSpot's standard OAuth authorization flow. You are responsible for:

• deciding which of your HubSpot users can install the App and view its settings page;
• having the right to let the App process the data described in the privacy policy, including the names and email addresses of your HubSpot users shown in the change history, and for your own compliance with any privacy law that applies to you as the controller of that data.

Acceptable use

You agree not to:

• use the App to process data you do not have the right to process, or in a way that violates a data subject's rights;
• attempt to reverse engineer, disrupt, or gain unauthorized access to the App or the infrastructure it runs on;
• use the App to violate HubSpot's own terms of service or API usage policies;
• resell, sublicense, or provide the App to a third party as your own service.

Third-party services

The App integrates with HubSpot, a service we do not control. Your use of HubSpot is governed by your own agreement with HubSpot. We are not responsible for HubSpot's availability or accuracy, or for any change HubSpot makes to its platform or API that affects the App's behavior — including which changes HubSpot records and whether it records who made them.

Data and privacy

Our Privacy Policy describes what data the App processes, what we store, and how long we keep it, and forms part of these Terms.

Intellectual property

We retain all rights, title, and interest in the App, including its software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the App while it remains installed on your HubSpot account, for your own internal business purposes. No other rights are granted.

Disclaimer of warranties

The App is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the App will be uninterrupted or error-free, that it will detect every change to your HubSpot account, or that changes will be detected within any particular time.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising out of or related to your use of the App, including any change to your HubSpot account the App did not detect. Our total liability for any claim arising from these Terms or the App will not exceed the amount you paid us for the App in the twelve months before the claim arose — confirm this cap once pricing is set.

Indemnification

You agree to indemnify and hold us harmless from any claim arising from your use of the App in violation of these Terms, your violation of any law, or your violation of any third party's rights.

Term and termination

These Terms apply for as long as the App is installed on your HubSpot account. You may stop using the App at any time by uninstalling it — see Uninstall the app in the setup guide.

We may suspend or terminate your access to the App if you materially breach these Terms and do not correct the breach within a reasonable time of being notified, or if required to do so by HubSpot or by law.

Changes to these terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date and, where required, communicated to you directly.

Governing law

These Terms are governed by the laws of state/jurisdiction — confirm, without regard to its conflict-of-laws principles. Any dispute arising from these Terms will be resolved in the courts located in jurisdiction — confirm, and you consent to that jurisdiction.
